1. Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen («AGB») regeln die Nutzung der Dienste der VoxContract AG («VoxContract», «wir»). Mit der Registrierung oder Nutzung unserer Dienste akzeptierst du diese AGB. Abweichende Bedingungen des Nutzers gelten nicht, sofern nicht ausdrücklich schriftlich anerkannt.

2. Vertragsschluss

Der Vertrag zwischen dir und VoxContract kommt mit der Bestätigung deiner Registrierung zustande. Die Darstellung unserer Dienste auf der Website stellt kein verbindliches Angebot dar.

3. Leistungsbeschreibung

VoxContract bietet eine Plattform zur Erstellung, Verifikation und Speicherung von Vereinbarungen mittels Sprache, KI, Biometrie und Blockchain-Hashing. Der konkrete Funktionsumfang richtet sich nach dem gewählten Tarif (Free, Pro, Enterprise).

4. Wichtiger rechtlicher Hinweis

VoxContract ersetzt keine Rechtsberatung. Unsere KI strukturiert Vereinbarungen, prüft jedoch nicht ihre Rechtsgültigkeit in jedem Einzelfall. Bei komplexen oder hoch riskanten Vereinbarungen empfehlen wir dringend, einen qualifizierten Anwalt beizuziehen. VoxContract garantiert nicht die Rechtsgültigkeit oder Durchsetzbarkeit der erstellten Vereinbarungen in jeder Jurisdiktion.

5. Preise und Zahlung

Die jeweils geltenden Preise sind auf der Website ausgewiesen. Alle Preise verstehen sich, sofern nicht anders angegeben, exklusive Mehrwertsteuer. Die Bezahlung erfolgt monatlich oder jährlich im Voraus über die angebotenen Zahlungsmittel.

6. Pflichten des Nutzers

Du gewährleistest die Richtigkeit deiner Angaben (Identität, Kontaktdaten).
Du verwendest VoxContract nicht für illegale, betrügerische oder sittenwidrige Zwecke.
Du holst die Einwilligung aller Vertragsparteien ein, bevor du deren Stimme oder Bild aufzeichnest.
Du hältst Zugangsdaten geheim und schützt dein Konto.

7. Haftung

VoxContract haftet nur für Schäden, die durch grobe Fahrlässigkeit oder Vorsatz verursacht wurden. Die Haftung für leichte Fahrlässigkeit ist im gesetzlich zulässigen Rahmen ausgeschlossen. Die Gesamthaftung von VoxContract pro Schadensfall ist auf den Betrag begrenzt, den du in den letzten 12 Monaten für den Dienst bezahlt hast.

8. Vertragsdauer und Kündigung

Bezahlte Tarife laufen für die gewählte Periode (monatlich oder jährlich) und verlängern sich automatisch, sofern nicht spätestens 24 Stunden vor Ablauf gekündigt. Eine Kündigung erfolgt direkt im Konto. Bei wesentlicher Verletzung dieser AGB können wir den Vertrag fristlos beenden.

9. Datenschutz

Die Verarbeitung personenbezogener Daten erfolgt gemäss unserer Datenschutzerklärung.

10. Änderungen der AGB

Wir behalten uns vor, diese AGB jederzeit anzupassen. Wesentliche Änderungen werden dir mindestens 30 Tage vor Inkrafttreten per E-Mail mitgeteilt. Widersprichst du nicht innerhalb dieser Frist, gelten die geänderten AGB als angenommen.

11. Anwendbares Recht und Gerichtsstand

Es gilt ausschliesslich Schweizer Recht unter Ausschluss der Kollisionsnormen und des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf (CISG). Ausschliesslicher Gerichtsstand ist Zürich, Schweiz. Vorbehalten bleiben zwingende gesetzliche Gerichtsstände für Konsumenten.

12. Salvatorische Klausel

Sollten einzelne Bestimmungen dieser AGB unwirksam oder undurchführbar sein, bleibt die Wirksamkeit der übrigen Bestimmungen unberührt. Die unwirksame Bestimmung ist durch eine wirksame zu ersetzen, die dem wirtschaftlichen Zweck der ursprünglichen Bestimmung am nächsten kommt.

1. Scope

These General Terms and Conditions ("Terms") govern the use of the services provided by VoxContract AG ("VoxContract", "we"). By registering or using our services, you accept these Terms. Differing conditions of the user are not applicable unless expressly acknowledged in writing.

2. Contract formation

The contract between you and VoxContract is concluded upon confirmation of your registration. The presentation of our services on the website does not constitute a binding offer.

3. Service description

VoxContract offers a platform for the creation, verification and storage of agreements using voice, AI, biometrics and blockchain hashing. The specific scope of features depends on the selected tier (Free, Pro, Enterprise).

4. Important legal notice

VoxContract is not a substitute for legal advice. Our AI structures agreements but does not verify their legal validity in every individual case. For complex or high-risk agreements, we strongly recommend consulting a qualified lawyer. VoxContract does not guarantee the legal validity or enforceability of the created agreements in every jurisdiction.

5. Prices and payment

The applicable prices are stated on the website. Unless otherwise specified, all prices are exclusive of VAT. Payment is made monthly or yearly in advance through the offered payment methods.

6. User obligations

You guarantee the accuracy of your information (identity, contact data).
You do not use VoxContract for illegal, fraudulent or immoral purposes.
You obtain the consent of all contracting parties before recording their voice or image.
You keep your credentials secret and protect your account.

7. Liability

VoxContract is liable only for damages caused by gross negligence or intent. Liability for slight negligence is excluded to the extent permitted by law. VoxContract's total liability per claim is limited to the amount you have paid for the service in the last 12 months.

8. Term and termination

Paid tiers run for the selected period (monthly or yearly) and renew automatically unless cancelled at least 24 hours before expiry. Cancellation is done directly in the account. In case of material breach of these Terms, we may terminate the contract without notice.

9. Data protection

The processing of personal data is governed by our Privacy Policy.

10. Changes to the Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you by email at least 30 days before they take effect. If you do not object within this period, the amended Terms are deemed accepted.

11. Governing law and jurisdiction

These Terms are governed exclusively by Swiss law, excluding conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is Zürich, Switzerland. Mandatory consumer jurisdictions are reserved.

12. Severability

Should individual provisions of these Terms be invalid or unenforceable, the validity of the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose of the original provision.

Estos términos y condiciones ("Términos") regulan el uso de los servicios de VoxContract AG ("VoxContract", "nosotros"). Al registrarte o usar nuestros servicios, aceptas estos Términos. Las condiciones divergentes del usuario no se aplican salvo reconocimiento expreso por escrito.

2. Formación del contrato

El contrato entre tú y VoxContract se perfecciona con la confirmación de tu registro. La presentación de nuestros servicios en la web no constituye una oferta vinculante.

3. Descripción del servicio

VoxContract ofrece una plataforma para la creación, verificación y almacenamiento de acuerdos mediante voz, IA, biometría y hashing en blockchain. El alcance concreto de las funcionalidades depende del plan elegido (Free, Pro, Enterprise).

4. Aviso legal importante

VoxContract no sustituye el asesoramiento jurídico. Nuestra IA estructura los acuerdos, pero no verifica su validez legal en cada caso particular. En acuerdos complejos o de alto riesgo, recomendamos encarecidamente consultar a un abogado cualificado. VoxContract no garantiza la validez ni la exigibilidad legal de los acuerdos creados en todas las jurisdicciones.

5. Precios y pago

Los precios aplicables figuran en la web. Salvo indicación en contrario, todos los precios se entienden sin IVA. El pago se realiza mensual o anualmente por adelantado mediante los métodos de pago ofrecidos.

6. Obligaciones del usuario

Garantizas la exactitud de tus datos (identidad, datos de contacto).
No utilizas VoxContract para fines ilegales, fraudulentos o contrarios a la moral.
Obtienes el consentimiento de todas las partes contractuales antes de grabar su voz o imagen.
Mantienes en secreto tus credenciales y proteges tu cuenta.

7. Responsabilidad

VoxContract solo responde por daños causados por dolo o culpa grave. Queda excluida en la medida legalmente permitida la responsabilidad por culpa leve. La responsabilidad total de VoxContract por reclamación se limita al importe que hayas pagado por el servicio en los últimos 12 meses.

8. Duración y resolución

Los planes de pago tienen la duración del periodo elegido (mensual o anual) y se renuevan automáticamente salvo cancelación al menos 24 horas antes del vencimiento. La cancelación se realiza directamente en la cuenta. En caso de incumplimiento sustancial de estos Términos, podemos resolver el contrato sin preaviso.

9. Protección de datos

El tratamiento de datos personales se rige por nuestra política de privacidad.

10. Modificaciones

Nos reservamos el derecho a modificar estos Términos en cualquier momento. Los cambios sustanciales se te comunicarán por email con al menos 30 días de antelación a su entrada en vigor. Si no te opones dentro de ese plazo, los Términos modificados se consideran aceptados.

11. Ley aplicable y jurisdicción

Se aplica exclusivamente el derecho suizo, con exclusión de las normas de conflicto de leyes y de la Convención de las Naciones Unidas sobre los Contratos de Compraventa Internacional de Mercaderías (CISG). El fuero exclusivo es Zúrich, Suiza. Quedan reservadas las jurisdicciones legales imperativas para consumidores.

12. Cláusula de salvaguardia

Si alguna disposición de estos Términos resulta inválida o inejecutable, ello no afectará a la validez del resto. La disposición inválida será sustituida por otra válida que más se aproxime al propósito económico de la original.
